
1. Subscription terms
These terms apply to all Wbots plans, cloud and managed. By subscribing to Wbots, you and any entity you represent agree to be bound by these terms from the date you start using the service. If you sign on behalf of an organization, you confirm that you have authority to do so.
2. License and support
2.1 Subject to this agreement, Wbots grants the customer a limited, non-exclusive, non-transferable license to use the Wbots platform for internal business purposes at the usage level paid for.
2.2 Wbots will provide reasonable support according to the selected support plan through WhatsApp, email, and in-app chat.
3. Restrictions and responsibilities
The customer will not, and will not allow any third party to, use the service for unauthorized purposes, resell or rent it, use it for high-risk activities, or use it in a harmful, fraudulent, deceptive, threatening, abusive, or unlawful manner, including violations of privacy and intellectual property laws.
The customer is responsible for securing their account and passwords and is fully responsible for all use through the account.
4. Confidentiality
4.1 Each party understands that the other may disclose information related to its technology or business. The Wbots platform and content are Wbots confidential information.
4.2 The receiving party will not disclose confidential information to third parties, will grant access only to employees who need it for this agreement, and will take reasonable security precautions to protect it.
5. Intellectual property rights
5.1 Except as expressly stated, Wbots retains all intellectual property rights in the platform and in any suggestions, ideas, or feedback provided by the customer. This agreement is not a sale and does not transfer ownership rights in the platform.
5.2 The customer may not remove, modify, or hide any Wbots copyright notices, trademarks, or ownership marks.
5.3 The customer retains all rights in content and data provided through the platform and is fully responsible for the legality of that content.
6. Payment of fees
6.1 The customer must pay the fees stated in the quote or invoice according to the agreed terms. If usage exceeds plan limits, additional usage may be billed.
6.2 Wbots may issue invoices, and payment must be received according to the invoice terms. Unpaid amounts may be subject to a late fee of 1.5% per month or the maximum allowed by law.
6.3 Our fees do not include taxes or government charges. You are solely responsible for paying taxes related to your purchases.
7. Termination
7.1 This agreement continues until terminated. Either party may terminate it with 30 days written notice.
7.2 The customer may terminate the agreement at any time with written notice. Either party may terminate for a material breach not cured during a 30-day notice period.
7.3 On termination for any reason, customer access to the platform stops, and all fees due through the termination date must be paid.
8. Warranties and disclaimer
The service is provided "as is" without express or implied warranties. Wbots does not guarantee that the service will be error-free or uninterrupted and disclaims all implied warranties, including merchantability and fitness for a particular purpose.
9. Limitation of liability
Wbots will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or reputation. Wbots total liability will not exceed fees paid by the customer during the 12 months before the claim event.
10. Governing law
This agreement is governed by the laws of the Arab Republic of Egypt. Cairo courts have jurisdiction over disputes arising from or related to this agreement.
11. General provisions
This agreement is the complete agreement between the parties regarding its subject matter and replaces all previous agreements. It may be modified only by a written document signed by both parties.
If any provision is found unenforceable, the remaining provisions remain in full force.
